Terms of Sale

1. Scope
These Terms of Sale govern every purchase of a paid Open Backtest subscription, whether you buy as a consumer or on behalf of a business. They complete the Terms of Service, which keep governing your use of the service.
2. Merchant of record
Purchases are processed by our merchant of record, Polar Software Inc., which acts as the seller of record: it collects payment, applies VAT or sales tax, issues the invoice, and appears on your bank statement. Your order is also subject to Polar's own consumer terms, available on polar.sh.
Card and payment details are handled by Polar and its payment processors; Open Backtest never receives them.
3. Plans and prices
Available plans, their features, prices, currency, and billing periods are displayed on the pricing page and confirmed at checkout before you commit to pay. Taxes are computed at checkout based on your location.
4. Subscription, renewal and cancellation
Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from your billing settings or the Polar customer portal; cancellation takes effect at the end of the current period, which you keep in full.
Organization plans are billed per seat to the organization owner; adding or removing seats adjusts the next invoice as shown at the time of the change.
5. Access and delivery
Paid features are digital services delivered immediately: access is activated on your account as soon as the payment is confirmed.
6. Right of withdrawal (EU and French consumers)
If you are a consumer in the European Union, you normally have 14 days to withdraw from an online purchase. By requesting immediate access to the subscription, you expressly consent to the service starting right away and acknowledge that the right of withdrawal is lost once the service is fully performed, in accordance with articles L221-18 and following of the French Consumer Code.
Where the right of withdrawal applies, exercise it within 14 days of the order by contacting us or Polar support with an unambiguous statement; the sums paid will be refunded, less a proportion covering the service already provided.
7. Refunds
Beyond your legal rights, refunds are assessed case by case — for example when a billing error or a major service failure occurred. Contact support with the invoice reference; approved refunds are returned through Polar to the original payment method.
8. Price changes
Prices may change. For an active subscription, the new price only applies from the next renewal and after prior notice, leaving you time to cancel before it takes effect.
9. Consumer mediation
In accordance with the French Consumer Code, after contacting our support without a satisfactory resolution, French consumers may refer the dispute free of charge to our consumer-mediation entity: [mediator name, address, and website — to be designated].
10. Governing law
These Terms of Sale are governed by French law. If you are a consumer, you also keep the mandatory protections of the country where you habitually reside, and you may bring or face proceedings before the courts of that country.
