Terms of Sale

1. Scope
These Terms of Sale govern every purchase of a paid Open Backtest subscription, whether you buy as a consumer or on behalf of a business. They complete the Terms of Service, which keep governing your use of the service.
2. Merchant of record
Purchases are processed through Stripe Managed Payments, under which Stripe provides the merchant-of-record service. Checkout and receipts may identify Link as the seller or merchant of record, and Link provides order management and transaction support. Stripe and Link collect payment, apply VAT or sales tax, issue transactional documents, and handle fraud and disputes. Your order is also subject to the terms presented at checkout.
Card and payment details are handled by Stripe, Link, and their payment processors; Open Backtest never receives complete card details.
3. Plans and prices
Available plans, their features, prices, currency, and billing periods are displayed on the pricing page and confirmed at checkout before you commit to pay. Taxes are computed at checkout based on your location.
4. Subscription, renewal and cancellation
Personal subscriptions renew automatically until cancelled. You can cancel from your billing settings or manage the order through Link; personal cancellation takes effect at the end of the current paid period, which you keep in full.
Each organization seat is a separate monthly subscription purchased by the partner. Adding a seat starts its own checkout and billing cycle. Removing a seat cancels it immediately without changing other seats; the holder keeps their account and data on the free plan.
The partner program has a one-time entry fee. For each unique normalized client email, once its first full monthly seat cycle has been paid, Open Backtest automatically makes the immediately following monthly cycle free. If the original seat ends before the free cycle, the benefit may follow a recreated seat or subscription for the same email. Each partner and client email pair qualifies only once, only full free months are granted, and their total value cannot exceed the entry payment. This reward is not redeemable for cash or transferable to another client.
5. Access and delivery
Paid features are digital services delivered immediately: access is activated on your account as soon as the payment is confirmed.
6. Right of withdrawal (EU and French consumers)
If you are a consumer in the European Union, you normally have 14 days to withdraw from an online purchase. By requesting immediate access to the subscription, you expressly consent to the service starting right away and acknowledge that the right of withdrawal is lost once the service is fully performed, in accordance with articles L221-18 and following of the French Consumer Code.
Where the right of withdrawal applies, exercise it within 14 days of the order by contacting us or the buyer support shown by Link with an unambiguous statement; the sums paid will be refunded, less a proportion covering the service already provided.
7. Refunds
Beyond your legal rights and the partner-seat free-month reward described above, refunds are assessed case by case — for example when a billing error or a major service failure occurred. Contact support with the invoice reference; approved refunds are returned through Stripe Managed Payments to the original payment method.
8. Price changes
Prices may change. For an active subscription, the new price only applies from the next renewal and after prior notice, leaving you time to cancel before it takes effect.
9. Consumer mediation
In accordance with the French Consumer Code, after contacting our support without a satisfactory resolution, French consumers may refer the dispute free of charge to our consumer-mediation entity: [mediator name, address, and website — to be designated].
10. Governing law
These Terms of Sale are governed by French law. If you are a consumer, you also keep the mandatory protections of the country where you habitually reside, and you may bring or face proceedings before the courts of that country.
